BP, Motion JVCo complete acquisition of Castrol India’s promoter, gaining sole control

Castrol India Limited announced that BP p.l.c. and Motion JVCo Limited, an entity part of Stonepeak Infrastructure Fund V, completed the sale and purchase agreement dated December 23, 2025, resulting in the Acquirer acquiring 100% of the equity share capital of Castrol Group Holdings Limited, which holds 100% of the equity share capital of Castrol Limited, the promoter of Castrol India, on October 30, 2026. Consequently, the Acquirer indirectly acquired sole control of Castrol India, which holds 50,44,52,416 equity shares, representing 51.00% of Castrol India's equity share capital, while BP Motion Holdings Limited received a 35% equity stake in the Acquirer.
