The Phoenix Mills' SGH Realty to amalgamate with Truevalue Infrabuild, pending approvals

The Phoenix Mills Limited announced that its subsidiary, SGH Realty Private Limited, will amalgamate with Truevalue Infrabuild Private Limited, another step-down subsidiary wholly owned by SGH, subject to approval from the Regional Director and the National Company Law Tribunal. The amalgamation, considered and approved by the boards of both companies on October 15, 2026, is intended to create a simplified business structure, reduce overheads, and enhance value for shareholders, with Truevalue Infrabuild Private Limited having a paid-up capital of Rs 24.128 crore and a net worth of Rs 3.70 crore as of September 30, 2026, while SGH Realty Private Limited had a paid-up capital of Rs 1.001 crore, a net worth of Rs 11139.54 crore, and a turnover of Rs 10639.14 crore as of the same date.
