Waaree Energies to merge with Indosolar, creating a backward-integrated solar module business

Waaree Energies Ltd. announced that its board approved a draft scheme of amalgamation with Indosolar Limited, consolidating the two companies' solar photovoltaic module manufacturing businesses. The amalgamation, subject to regulatory approvals, will involve the issuance of one share of Waaree Energies Ltd. for every 11 shares of Indosolar Limited, according to a filing with the Bombay Stock Exchange and National Stock Exchange. The move aims to simplify the group structure, eliminate related-party transactions, and create a backward-integrated undertaking, while also providing public shareholders of Indosolar Limited with enhanced liquidity.
