Public Issue of 34,43,000 equity shares of Rs. 10 each for cash at a price of Rs.675 per equity share including a share premium of Rs.665 per equity share aggregating Rs.232.40 Crores comprising a fresh issue of 2,768,000 equity shares of Rs. 10 each by the company ("fresh issue") and an offer for sale by Kishore K. Avarsekar, Abhijit K. Avarsekar, Ashish K. Avarsekar and Pushpa K. Avarsekar of 6,75,000 equity shares of Rs. 10 each (the "offer for sale"). The fresh issue and the offer for sale are jointly referred to as the "issue". The issue comprises a net issue to the public of up to 33,43,000 equity shares of Rs. 10 each (the net issue") and a reservation of up to 100,000 equity shares of Rs. 10 each, for the permanent employees of the company ("employee reservation portion") the issue would constitute 25.76% of the fully diluted post issue paid-up capital of the company.
