Public offer of 12,000,000 equity shares of face value of Rs. 10 each (The "Equity Shares") of National Building Construction Corporation Limited ("NBCC" or "Company") through an offer for sale by The President of India, acting through the Ministry of Urban Development, Government of India (The "Selling Shareholder") for cash at a price of Rs. 106 per equity share (including a share premium of Rs. 96 per equity share), aggregating Rs. 124.97 crores (The "Offer"). The offer comprises a net offer to the public of 11,880,000 equity shares (The "Net Offer") and a reservation of 120,000 equity shares for subscription by eligible employees (The "Employee Reservation Portion"). The offer would constitute 10% of the post offer paid-up equity capital of the company and the net offer would constitute 9.90% of the post offer paid-up equity capital of the company. Offer price: Rs. 106 per equity share of face value of Rs. 10 each. The offer price is 10.6 times of the face value. * A Discount of 5% (equivalent to Rs. 5.30) on the offer price is being offered to Retail Bidders ("Retail Discount") and to Eligible Employees (the "Employee Discount"). The discount price to the aforesaid categories is Rs. 100.70 per equity share.
